Authorized User means all full and part-time employees of Licensee, including those at remote locations, as well as students, patrons, and other onsite authorized users.

License. Licensor hereby grants to Licensee the right to use the licensed product(s) in accordance with the terms and conditions of this Agreement. Licensor represents and warrants that it has the right to grant this license and that use of the licensed product(s) in accordance with the terms of this agreement will not infringe the intellectual property or other rights of any third party. The copyright and other proprietary rights in the licensed product(s) remain the sole and exclusive property of the Licensor. The licensed product(s) is intended and authorized for use only at the Authorized Site and only by Authorized Users. Licensee shall use reasonable efforts to protect the licensed product(s) from being copied by unauthorized users and from any other use that is not permitted under this agreement. No part of this licensed product(s) may be duplicated in hardcopy or machine-readable form without prior written authorization from Licensor, except as provided below. Licensee shall use the licensed products only at one Authorized Site, and shall not connect the licensed products to a network that permits use anywhere other than by the authorized users described above. Licensor acknowledges that copies of dataset may exist in Licensee’s email servers, network storage or on hard drives of authorized users through use of the product.
